Tianlong Optoelectronics: May suspend listing for annual turnaround
On the evening of September 4, Tianlong Optoelectronics released a risk warning that the company's stock may be suspended. The company announced that the company's 2012 and 2013 losses for two consecutive years, according to the "Shenzhen Stock Exchange GEM Listing Rules (2012 Revision)" Article (1) of Article 13.1.1 stipulates that “the listed company has suffered consecutive losses in the last three years (based on the audited net profit of the current year disclosed in the annual financial accounting report for the last three years). We may decide to suspend the listing of its shares†If the company continues to lose money in 2014, the company's stock “Tianlong Optoelectronics†(stock code: 300029) will be suspended from the company's 2014 annual report disclosure.
Tianlong Optoelectronics said that the company's board of directors will strengthen the sales of the main business with the management, actively turn over the inventory pressure; further dispose of idle assets and seek related support, and strive for annual losses.
At the same time, the company's board of directors and the board of supervisors received a written resignation application report submitted by Ms. Mei Fang, the director of the company, and Mr. Wang Hongzhong, the supervisor. For personal reasons, Ms. Mei Fang requested to resign from her position as the director of the second board of directors of the company. For personal reasons, Mr. Wang Hongzhong requested to resign from his position as supervisor of the second board of supervisors of the company. According to the relevant provisions of the Articles of Association, the resignation report of Ms. Mei Fang and Mr. Wang Hongzhong came into effect on the day of delivery to the board of directors and the board of supervisors of the company. Due to the resignation of Mr. Wang Hongzhong, the members of the company's board of supervisors are lower than the quorum. The company will nominate candidates for supervisors as soon as possible in accordance with the "Company Law" and "Articles of Association" and submit them to the shareholders' meeting for deliberation.
